Effective 2026-07-18. By ordering from DiligenceKit you agree to these terms.
DiligenceKit produces diligence-readiness reports and preparation services for founders, small funds and acquisition targets: a round-weighted kill-list scorecard, a gap work-order ordered by deal impact with the proof document for each item, and — if you provide a cap table — a convertible-instrument dilution model (post-money SAFE conversion, cap vs discount, MFN, the option-pool shuffle and pro-rata). It is delivered as a written report; the workshop tier adds a live walkthrough.
The report is a preparation and educational deliverable. The dilution figures are illustrative arithmetic computed solely from the inputs you provide — they are not a valuation, an audit, or legal, tax or investment advice.
DiligenceKit is not a broker-dealer or a registered investment adviser. We do not introduce investors, solicit securities transactions, or take success fees or equity. We charge a flat fee for preparation work only.
24-hour delivery. Your report is delivered within 24 hours of confirmed payment. If we fail to deliver within that window, you are entitled to a full refund — reply "refund" to your confirmation email and it is processed within one business day, with no retention flow.
Before delivery — cancel any time. The report is a bespoke digital deliverable prepared to order. Before we deliver it to you, you may cancel for any reason and receive a full refund.
After delivery — limited. Once the digital report has been delivered, it is no longer refundable except (a) under the delivery guarantee above, or (b) where the deliverable materially fails to match what was ordered — in which case, contact us within 7 days and we will correct it or refund it. By placing an order you acknowledge that the report is a digital good prepared and delivered to you, and that your right to withdraw ends once delivery has begun.
Fees are stated in USD on the order page ($29 add-on, $79 standalone, $1,200 workshop) and are due before work begins. The workshop tier is invoiced by bank wire. Korean entities may request a tax invoice (세금계산서).
The cap-table and instrument details you share are used only to prepare your report and are not disclosed to third parties except the infrastructure providers listed in our Privacy Policy. We are glad to sign a mutual NDA on request.
To the extent permitted by law, our total liability for any claim arising from the service is limited to the fees you paid for the report in question. The report is informational and is not legal, tax, financial or investment advice; decisions you make from it are your own.
